These Terms of Service ("Terms") govern your use of Payable, a Gmail add-on for accounts payable automation ("Service"), provided by Cephgate LLC ("Company," "we," "us," or "our"). By installing, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Payable is a Gmail add-on that uses artificial intelligence to analyze invoice and receipt emails, extract financial data, and create bills and expenses in your connected QuickBooks Online account. The Service includes:

The Service integrates with Intuit QuickBooks Online via the Intuit Developer API. Your use of QuickBooks is separately governed by Intuit's Terms of Service. Cephgate LLC is an independent third-party application and is not affiliated with, endorsed by, or sponsored by Intuit Inc. "QuickBooks" is a registered trademark of Intuit Inc.
You authorize Cephgate LLC to access and modify your QuickBooks data (vendors, bills, expenses, attachments) on your behalf as necessary to provide the Service. You may revoke this authorization at any time by disconnecting QuickBooks from Payable Settings.
Payable is offered as a subscription service with the following tiers:
All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice to existing subscribers.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in our Privacy Policy.
The Service, including all software, AI models, interfaces, and documentation, is owned by Cephgate LLC and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership rights in the Service. You retain ownership of all data you input into the Service, including your invoices, vendor information, and QuickBooks data.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI EXTRACTIONS WILL BE ACCURATE OR COMPLETE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CEPHGATE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Cephgate LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
Either party may terminate these Terms at any time. You may terminate by uninstalling Payable and disconnecting your QuickBooks account. We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees, or if we discontinue the Service. Upon termination, your access to the Service ends immediately; however, any records already created in QuickBooks will remain there.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date and, where appropriate, notifying you by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, rather than in court. You waive any right to a jury trial or to participate in a class action lawsuit or class-wide arbitration. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Cephgate LLC regarding the Service and supersede all prior agreements, representations, and understandings.
